Melinda Davis Lux, Member

 

Melinda focuses her practice on complex business deals, including mergers and acquisitions, joint ventures, and financing transactions.

As an M&A lawyer, Melinda advises buyers and sellers in structuring, negotiating, and documenting business acquisitions and divestitures. She enjoys helping clients structure M&A deal terms, including working capital adjustments, earnout arrangements, escrow protection, set-off rights, seller financing, and post-closing non-competition restrictions.  Melinda also assists companies with premerger notification filings under the Hart-Scott-Rodino Act (HSR Act).

As a corporate finance lawyer, Melinda helps companies with asset-based lending transactions and refinancings.

Melinda also advises public companies, directors, and stockholders with respect to securities law and corporate governance matters, including SEC reporting requirements.

Melinda is an Adjunct Professor at Clemson University College of Business and Behavioral Science, where she received her MBA.  Melinda teaches an entrepreneurial law course to MBA students. Melinda is currently pursuing her LL.M. in Taxation from NYU School of Law.
