Melinda Davis Lux, Member

Melinda focuses her practice on complex corporate transactions, including mergers and acquisitions, joint ventures, and debt financings. She has extensive experience in acquisition and sale transactions and regularly advises buyers and sellers in structuring, negotiating, and documenting business acquisitions and divestitures.

Melinda also regularly represents growing companies in capital raising transactions, such as private placements of securities. In addition, she advises public companies on 34 Act reporting and securities law matters.

In addition, Melinda is an Adjunct Professor at Clemson University College of Business and Behavioral Science and an Adjunct Professor at the University of South Carolina Upstate College of Business and Economics. She teaches courses on entrepreneurship and business negotiations.

  • Represented private company in acquisition of specialty chemical business for $70 million, subject to post-closing adjustments
  • Represented public company in acquisition of apparel business for $85 million plus earn out payments
  • Represented private company in the acquisition of a chemical dye business for $24 million, subject to post-closing adjustments
  • Represented private company in the acquisition of a transmission manufacturing business for $6 million
  • Representing public company in sale of restaurant franchise by means of a $750 million merger transaction
  • Represented public company in $200 million debt financing through a secured credit facility
  • Represented private company in $60 million secured debt financing, consisting of $20 million senior term loan and $40 million subordinated revolving loan
