Kevin Hendricks, Member
Kevin advises clients with their corporate finance, mergers and acquisitions, and legal strategy needs. Prior to joining the Wyche Law Firm, Kevin served as General Counsel of NewSouth Communications, a Greenville-based competitive local exchange carrier, where his primary responsibilities included debt and equity financing, mergers and acquisitions, and managing the company’s overall legal strategy. Kevin began his career at Jones Day, one of the world’s largest law firms, where he concentrated his practice in corporate finance and mergers and acquisitions.
Representative Matters
Kevin assists early stage and middle-market companies with their growth strategies, including raising capital, acquiring companies and planning for liquidity. Some of the notable transactions he has worked on include the following:
- Represented industrial services business in merger of equals resulting in a business with combined revenues exceeding $500 million.
- Represented early stage technology company in connection with $4.7 million Series A financing by institutional venture capital funds.
- Represented financial services business in connection with control investment and recapitalization by institutional private equity funds.
- Represented industrial services business in connection with purchase of significant equity interest by strategic investor.
- Represented The South Financial Group, Inc. in connection with the shelf registration of $750 million of securities.
- Represented The South Financial Group, Inc. in connection with the public offering of $171 million of common stock.
- As General Counsel of NewSouth Communications, managed NewSouth’s raising of over $400 million of debt and equity capital, with Kohlberg Kravis Roberts & Co. as lead investor.
- While at Jones Day, represented publicly held clients in connection with their capital raising efforts and their acquisitions of publicly and privately held companies. Also represented Southeastern-based venture capital and private equity funds, including a private equity fund that acquired the remnants of Drexel Burnham & Lambert, the former investment bank associated with developing the “junk bond” market in the late 1980’s.
