Andrew B. Coburn, Member

Andy regularly represents clients in mergers and acquisitions, corporate reorganizations, structuring of joint ventures, securities offerings and other financing transactions. He has extensive experience with growing companies and private placements of securities.

Andy also advises and assists public and private company clients in the design and implementation of executive compensation arrangements, equity compensation plans and broad-based employee benefits. Such representation includes particular experience with the specialized issues involved in entrepreneurial ventures and mergers and acquisitions.

Representative Matters

  • Represented the founders of a private company who had built their business over 20 years in selling a majority interest to two private equity funds for over $50 million.
  • Represented private biotechnical company in the private placement of $4 million in convertible notes.
  • Represented NASDAQ corporation in addressing the corporate, tax and securities issues related to design and implementation of a new stock compensation plan and modifications to existing stock programs required to address a corporate recapitalization.
  • Represented NYSE corporation in review and revision of executive deferred compensation program.
